    1. About These Terms

    These Terms of Service ("Terms") govern your access to and use of Change Layer's website, hosted application, public pages, widgets, APIs, documentation, and related services (together, the "Services").

    The Services are provided by CTRLED Labs Ltd, 71-75 Shelton Street, London WC2H 9JQ, United Kingdom ("Change Layer", "we", "us", or "our").

    By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

    2. Eligibility and Accounts

    You must be at least 16 years old and able to enter into a binding agreement to use the Services.

    You are responsible for:

    • providing accurate account information
    • maintaining the security of your account
    • controlling access to your workspace, API keys, and connected third-party accounts
    • all activity that occurs under your account or workspace

    You may sign in or connect accounts using third-party providers such as Google or GitHub. Your use of those third-party services is also subject to their own terms and policies.

    3. The Services

    Change Layer provides tools for teams to manage and publish product updates, including changelogs, release notes, roadmaps, public pages, widgets, AI-assisted draft generation, and related API access.

    Some features may be public-facing. If you publish content or enable public access for a page, widget, or API route, that content may be visible to anyone with access to the relevant URL or integration.

    We may add, remove, improve, or change features over time.

    4. Paid Plans, Billing, and Renewals

    Some features require a paid subscription.

    If you purchase a paid plan:

    • you authorize us and our payment processor, Stripe, to charge the fees for your selected plan
    • subscriptions may be billed on a monthly or annual basis, depending on the plan you choose
    • unless stated otherwise, fees are charged in Great British Pounds (GBP)
    • subscriptions renew automatically until cancelled

    You can cancel a subscription through your account or by contacting us. Unless we state otherwise, cancellation takes effect at the end of the current paid term.

    Taxes may be added where required by law.

    We may change pricing or plan structure in the future. If we do, the change will apply prospectively and we will provide notice where required.

    Except where required by law, fees already paid are non-refundable.

    5. Acceptable Use

    You may not use the Services to:

    • violate any law or regulation
    • infringe another person's rights
    • upload or distribute malware, malicious code, or harmful content
    • interfere with the integrity, security, or performance of the Services
    • bypass authentication, rate limits, access restrictions, or security controls
    • scrape, harvest, or systematically copy the Services without authorization
    • use the Services to send spam or abusive communications
    • impersonate another person or misrepresent your affiliation
    • use the Services in a way that could damage, disable, overburden, or compromise our systems

    You must keep API keys, tokens, and other credentials secure. You are responsible for activity performed using credentials issued to your account or workspace.

    6. Customer Content

    You retain ownership of the content you submit to the Services, including workspace content, published content, uploaded files, and repository-related inputs you choose to connect or process ("Customer Content").

    You grant us a non-exclusive, worldwide license to host, store, reproduce, process, modify as technically necessary, transmit, and display Customer Content only as needed to:

    • provide and operate the Services
    • secure and maintain the Services
    • generate and display outputs you request
    • make content available according to your publishing and sharing settings

    You are responsible for Customer Content and for ensuring you have the rights, permissions, and lawful basis needed to submit it and allow us to process it.

    7. AI-Assisted Features

    The Services may include AI-assisted features, including changelog draft generation based on commit messages and related inputs you choose to process.

    You understand and agree that:

    • AI-generated output may be incomplete, inaccurate, or unsuitable for your use case
    • you are responsible for reviewing output before publishing or relying on it
    • we may use third-party AI providers, including OpenAI, to provide these features

    8. GitHub and Other Third-Party Integrations

    The Services may allow you to connect third-party services such as GitHub and Google.

    If you connect a third-party service or install the Change Layer GitHub App, you authorize us to access and process the data necessary to provide the integration in accordance with your settings and our Privacy Policy.

    We are not responsible for third-party services, and we do not control their uptime, policies, or actions.

    9. APIs and Developer Access

    We may provide public APIs and authenticated APIs.

    If we issue API keys or other developer credentials to you:

    • you must keep them confidential
    • you may use them only for authorized purposes
    • you may not share, resell, or expose them publicly
    • we may suspend, rotate, or revoke them if we believe doing so is necessary for security, abuse prevention, legal compliance, or plan enforcement

    API availability, limits, and features may change over time.

    10. Feedback

    If you send us feedback, suggestions, or ideas about the Services, you agree that we may use them without restriction or compensation to you.

    11. Intellectual Property

    We own the Services, including our software, branding, documentation, designs, and other materials, except for Customer Content and third-party materials.

    Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business or personal use.

    You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the Services except as allowed by law or with our written permission.

    12. Privacy

    Our Privacy Policy explains how we collect, use, and share personal data, including our cookie and tracking practices. By using the Services, you acknowledge that policy.

    13. Suspension and Termination

    We may suspend or terminate your access to some or all of the Services if:

    • you violate these Terms
    • your use creates security, legal, or operational risk
    • we are required to do so by law
    • payment for a paid plan is overdue or fails

    You may stop using the Services at any time.

    Termination does not affect rights or obligations that by their nature should survive termination, including payment obligations, intellectual property provisions, disclaimers, liability limits, and indemnity obligations.

    14. Availability and Changes

    We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

    We may modify, suspend, or discontinue any part of the Services at any time. Where reasonably practical, we will try to give notice of material changes affecting paid functionality.

    15. Disclaimers

    To the fullest extent permitted by law, the Services are provided "as is" and "as available." We disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Services will be uninterrupted or error-free.

    16. Limitation of Liability

    To the fullest extent permitted by law:

    • we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, or data
    • our total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount you paid us for the Services in the 12 months before the event giving rise to the claim

    Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

    17. Indemnity

    You agree to indemnify and hold harmless CTRLED Labs Ltd and its officers, directors, employees, and agents from claims, losses, liabilities, and expenses arising out of:

    • your Customer Content
    • your misuse of the Services
    • your violation of these Terms
    • your violation of another person's rights or applicable law

    18. Governing Law

    These Terms are governed by the laws of England and Wales, excluding conflict-of-laws rules.

    The courts of England and Wales will have jurisdiction, except where mandatory consumer protection laws give you the right to bring a claim in another jurisdiction.

    19. Changes to These Terms

    We may update these Terms from time to time. When we do, we will update the "Last updated" date above. If a change is material, we may provide additional notice.
